<h3 style="text-align: left;" align="center"><span class="Apple-style-span" style="font-size: 13px; font-weight: normal;"><strong>NEWPORT BEACH, California&#8211;September 26, 2011</strong> – <strong>AirTouch</strong><strong>®</strong><strong> Communications, Inc. (OTCBB: ATCH), </strong>a company that is engaged in the development and marketing of patented telecommunication devices capable of converging voice, data, video, security , entertainment and  other advanced communications services from various service providers on one hardware platform, is pleased to announce that it has signed a long term 4G-LTE wholesale  agreement with LightSquared™, the nation’s first wholesale-only integrated 4G-LTE wireless broadband and satellite network.</span></h3>
<p>Under this wholesale agreement, AirTouch will be authorized to offer AirTouch branded voice/data services nationwide over LightSquared 4G LTE network.  AirTouch will be able to offer such services as a wireless service carrier and AirTouch will be investing millions of dollars to uniquely dedicate its facilities/services to entice service activations on its network.  AirTouch will position itself as a home/office centered wireless service provider offering its own unique hardware as a vehicle while inviting many other traditional mobile phone makers to sell their hardware on the AirTouch network.</p>
<p>AirTouch will also become a hardware supplier of choice by LightSquared for an array of fixed wireless application terminals that enable the customer to take advantage of many applications and services that are available today for home usage only on mobile phones with patented signal amplification technology.  In addition, AirTouch will offer its products for purchase by other LightSquared partners for their own service hardware at a partner pricing. It is anticipated that LightSquared will begin to offer such services in  2012.</p>
<p>“Under this agreement with LightSquared,” stated Hide Kanakubo, CEO of AirTouch Communications, Inc., “AirTouch will be able to operate like a wireless carrier and its proprietarily unique hardware could be offered directly to the end user enhancing both the features of the hardware as well as the services offered on it.  We have thrown in our lot with LightSquared’s service, its own hardware and vice versa.  We don’t intend to compete in the mobile handset arena so we can also encourage mobile phone makers to sell their mobile phones on our AirTouch network, once certified by LightSquared, and to add on their customers as AirTouch subscribers while those mobile phone makers are selling their hardware for hardware profit.”</p>
<p>Kanakubo noted, “AirTouch will be very open to the sharing of revenue with those manufacturers whose hardware contributed to bringing them on board as AirTouch subscribers. With the mobile data and mobile voice used more frequently at home and office, our home/office centric hardware should command its own niche with our unique hardware being offered on our own service network within the LightSquared 4G network.</p>

<p><strong>NEWPORT BEACH, CA &#8211; September 20, 2011 – AirTouch® CEO Hide Kanakubo (OTCBB: ATCH www.airtouchinc.com)</strong> said today that a new forecast by research firm IDC that more U.S. Internet users will access the web through mobile devices than PCs or other wireline methods by 2015 validates AirTouch’s business plans and technology.  AirTouch has designed and markets a unique combination of cordless telephone technology and wireless signal amplification which enables users to access a full range of voice, data, and other services in the home or office, completely wirelessly, over existing cellular wireless networks.</p>

<p>While the explosive growth projections for wireless Internet access through smartphones and tablets are vital for the growth of AirTouch, Kanakubo pointed out that they are only one part of the puzzle. The other factor is signal amplification as a form of media hardware.</p>
<p>AirTouch’s product can do everything that a mobile cellular phone can do at up to 10 times the signal strength, Kanakubo said.  He noted that amplification is through the base rather than the handset, which means less potential harm to health. The handset has the capability to operate at up to 900 feet from the base unit.</p>
<p>“Just as people opt to buy a sedan or SUV, depending on their needs, wireless devices will also take many forms including conventional mobile phones, or tablets, and their choice could well be a home and/or office dedicated device like ours,” Kanakubo said.</p>
<p>He added, “Remember, over 87% of mobile data and over 70% of mobile voice are initiated at home or at the office. Introduction of new technology like LTE, WiMax or even the 5<sup>th</sup> and 6<sup>th</sup> generation of new technology will have to transform the form factor of mobile phones. There is no reason wireless phones need to be MOBILE phones.”</p>
<p>“Our solution for home use or office use can create just as convenient a step to access to that of wireless broadband without turning on a PC or without having the home connected by landline infrastructure, and on a device that lasts longer, that may have even more home-oriented applications than regular mobile,” he added.</p>
<p>In addition to today’s Internet uses by consumers and business users, Kanakubo said he expects that growth for AirTouch will come from increased demand for video, data, security, and tele-medical applications coupled with AirTouch’s easy deployment and open access.</p>
<p>From an international perspective, Kanakubo also noted that the World Health Organization estimates that more than 2 billion people will move into the income bracket over the next five years that will enable them to afford wireless voice, Internet and entertainment where there is no landline infrastructure.</p>

<p><span class="Apple-style-span" style="font-size: 20px; font-weight: bold;"><strong>Waxess Holdings,  Inc. Announces Closing of First Tranche of PIPE Financing</strong><strong> </strong></span></p>
<p><strong>NEWPORT BEACH, California &#8211; July 18, 2011 – </strong>Waxess Holdings,Inc.,(in process of changing its name to AirTouch Communications, Inc.) announced that it has closed the first tranche of a PIPE financing.</p>
<p>Waxess Holdings entered into subscription agreements with certain investors whereby it sold an aggregate of 125.1 Units, with each Unit consisting of 12,500 of the Company’s common stock and one  two-year warrant to purchase 12,500 additional shares of Common Stock at an exercise price of $3.00 per share for a per Unit purchase price of $25,000 and an aggregate gross proceeds  of $3,127,500.</p>
<p>Waxess Holdings has entered into registration rights agreements with the Investors, pursuant to which the Company has agreed to file a “resale” registration statement with the SEC within 45 days from the final closing date of the Offering, covering all shares of the Common Stock sold in the Offering, including the shares of Common Stock underlying the Warrant and the shares of  Common Stock underlying the warrants issued to the placement agent(s).</p>
<p>The Company has agreed to maintain the effectiveness of the registration statement from its effectiveness date through and until 12 months after the Closing Date unless all securities registered under the registration statement have been sold or are otherwise able to be sold pursuant to Rule 144. The Company has agreed to use its reasonable best efforts to have the registration statement declared effective within 180 days from the Closing Date.</p>
<p>Waxess Holdings anticipates that it will have further closings before the end of July 2011 contributing several additional millions that will be used to fund research and development activities, marketing, for working capital as well as general corporate purposes.</p>
<p>Dawson James Securities is acting as the sole lead placement agent for these transactions.</p>

<p><strong>The Company is obligated to pay the Investors a fee of 3% per month of the Investors’ investment, payable in cash or shares of Common Stock (at the Company’s discretion), for every thirty (30) day period up to a maximum of 10%, (i) following the Filing Date that the registration statement has not been filed and (ii) following the Effectiveness Deadline that the registration statement has not been declared effective; provided, however, that the Company shall not be obligated to pay any such liquidated damages if the Company is unable to fulfill its registration obligations as a result of rules, regulations, positions or releases issued or actions taken by the SEC pursuant to its authority with respect to “Rule 415”, provided further, the Company registers at such time the maximum number of shares of common stock permissible upon consultation with the staff of the SEC.  </strong></p>
<p><strong>The Warrants may be exercised until the second anniversary of their issuance at a cash exercise price of $3.00 per share, subject to adjustment.  If at any time after 12 months from the date of issuance of the Warrant there is no effective registration statement registering the resale of the Common Stock underlying the Warrants, the Warrants may, during such period, be exercised on a “cashless” basis.  During the period beginning on the original date of issuance of the Warrant and ending on the earlier to occur of (i) the first anniversary date of the original issuance date and (ii) the date there is an effective registration statement on file with the SEC covering the resale of all of the Common Stock issued as part of the Units and underlying the Warrants, the Company issues or sells any shares of Common Stock or securities convertible into Common Stock (other than an “Exempt Issuance”, as defined in the Warrant) for consideration less than a price equal to $2.00 (the “New Issuance Price”), then the exercise price of the Warrant shall be reduced to an amount equal to New Issuance Price multiplied by 1.5.</strong></p>
<p><strong>During the period from the date of the initial closing (the “Initial Closing Date”) of the Offering until the earlier of (x) twelve months following the Initial Closing Date or (y) the date that the resale registration statement covering the shares of Common Stock included within the Units sold in the Offering and the shares of Common Stock underying the Warrants is declared effective, if the Company issues or grants any shares of Common Stock or any warrants or other convertible securities pursuant to which the shares of Common Stock may be acquired at a per share price less than $2.00 (the “Lower Price”), other than an Exempt Issuance, then the Company shall be obligated to issue additional shares of Common Stock to the Investors in the Offering in an amount sufficient that the total number of shares of Common Stock issued to the Investors will result in an effective price per share paid by the Investor equal to such Lower Price.</strong></p>

<p>In the interview, Kanakubo said that AirTouch provides a unique combination of cordless telephone technology and wireless signal amplification which enables users to access a full range of wireless services in the home or office over existing cellular wireless networks. Kanakubo referenced the market statistics  that approximately 87 percent of mobile data services take place in the home or office and more than 70 percent of voice calls are initiated from the home or office, and in terms of market potential for home and office centric communication device that utilizes the wireless technology as its enabling technology, the pent up demand for AirTouch products will be strong for wireless signal challenged areas and  emerging countries that do not have  landline infrastructure.</p>
<p>In addition to the U.S. market, Kanakubo said that AirTouch’s largest markets are the BRIC nations (Brazil, Russia, India, and China) and the N-11, or Next 11 countries that are expected to develop leading economies.  Kanakubo noted that the World Health Organization estimates that more than 2 billion people in these countries will move into the income bracket over the next five to ten years that will demand access to voice, Internet and entertainment services but have scarce landline-based infrastructure.  Kanakubo noted that wireless technology is the logical and most economical choice for this population segment to access those services and applications, and AirTouch devices can cost-effectively bridge the gap between the closest point of communication service access and the end consumer.</p>
<p>Kanakubo said that AirTouch’s product can do practically everything that a mobile cellular phone can do but at up to 10 times the signal strength is this generic statement?   Kanakubo pointed out that up to 26 percent of the U.S. population is located in areas where the wireless signal is unreliable.  He noted that signal amplification is done through the base rather than the handset, which also results in less potential health risk from long-term exposure to the user.  The handset operates at up to 900 feet from the base unit.</p>
<p>AirTouch’s product is currently marketed by some of the predominant national wireless carriers through their indirect agent channel, Kanakubo added. The company holds three U.S. patents and, has four patents pending for its technology.</p>
<p>Kanakubo said that AirTouch was founded by himself and a group of other former Uniden executives who saw that the migration of landline subscribers to cellular and alternative communications services would create an opportunity for cellular cordless phones for homes, small offices, and retail establishments.</p>
<p>Kanakubo noted that AirTouch recently closed on $12 million in a PIPE financing that will be used for R&amp;D activities, marketing, and working capital, as well as general corporate purposes. The company changed its name from Waxess Holdings, Inc. to AirTouch Communications, Inc. on July 21, 2011.</p>

(WXSS: OTCBB), which designs and markets wireless and radio-enabled telecommunication devices and data solutions, announced today that shares of its common stock have begun trading under the symbol WXSS on the OTC Bulletin Board.</p>
<p>According to Hide Kanakubo, Waxess’ president and chief executive officer, the company, which sells its products directly to wireless telecommunication service providers as well as through independent distributors and retailers around the world, expects to use a portion of the proceeds from the offering to continue to advance its technology and to expand its next generation products.  Currently, the company’s cell@home (DM1000)  product offers customers a more cost effective cellular solution with high voice quality for in-building calls at work and at home.  The device is available through various channels, including several of the major US carriers. Simultaneously, Waxess is working to bring its higher performance, lower cost, next generation DM1500 and MAT1000 products to market.</p>
